Unless and until an attorney-client relationship exists, you should not state or imply to any third party that Moorinvest Counsel, Sara Mana, Esq., or any person associated with Moorinvest Counsel represents you or your company.
6. Do not submit confidential information through public forms
Please do not submit confidential, privileged, sensitive, proprietary, or time-sensitive information through public website forms, scheduling tools, or email before Moorinvest Counsel has accepted a matter and an engagement agreement has been executed.
Information submitted through the Website may be used to review conflicts, suitability, scope, timing, and whether Moorinvest Counsel can assist. However, submitting information through the Website does not mean that Moorinvest Counsel has agreed to represent you.
If your matter involves other parties, investors, founders, counterparties, adverse parties, or related entities, you should identify them at a high level when requested so that Moorinvest Counsel can conduct an appropriate conflict and suitability review. Do not include detailed confidential facts unless and until instructed to do so after an engagement has been accepted.
7. No emergency use
The Website is not intended for urgent legal matters, court deadlines, regulatory deadlines, transaction deadlines, emergency advice, or time-sensitive communications.
Do not use the Website, contact forms, scheduling tools, or general email to communicate urgent legal deadlines or emergency matters. Moorinvest Counsel is not responsible for any deadline, filing, transaction, or legal obligation unless and until the firm has expressly accepted the matter in writing.
8. Introductory calls
Moorinvest Counsel may offer introductory calls through the Website or a third-party scheduling tool.
An introductory call is used to understand the matter at a high level, assess fit, discuss potential scope, and determine whether Moorinvest Counsel may be able to assist. An introductory call is not a legal advice session, legal opinion, document review, or emergency consultation.
Scheduling or attending an introductory call does not create an attorney-client relationship.
9. Fixed-fee projects and limited-scope reviews
Moorinvest Counsel may offer fixed-fee projects or limited-scope reviews where the scope, assumptions, deliverables, exclusions, and timeline can be clearly defined.
Any fixed-fee project or limited-scope review is governed by the applicable engagement agreement or written scope confirmation. Website descriptions of fixed-fee services are summaries only and do not create an obligation for Moorinvest Counsel to accept any matter.
Limited-scope reviews, including any Corporate & IP Gap Check or similar readiness review, are not full legal reviews, legal opinions, redlines, drafting engagements, enforceability reviews, securities law analyses, tax reviews, compliance audits, or approvals of any document unless expressly stated in the applicable engagement agreement.
Work outside the agreed scope may require a revised scope, separate engagement, additional fee arrangement, or referral to other counsel or advisers.
10. Payments and payment links
Moorinvest Counsel may send invoices, payment links, or other payment instructions after a matter has been accepted and engagement terms have been provided.
Submitting payment, receiving a payment link, or clicking a payment link does not modify the scope of work unless confirmed in the applicable engagement agreement or written scope confirmation.
Payment processing may be handled by third-party payment processors. Moorinvest Counsel is not responsible for third-party payment processor errors, outages, or security issues, except to the extent required by applicable law.
11. Jurisdictions and local counsel
Moorinvest Counsel may advise on matters involving laws in jurisdictions where Sara Mana, Esq. or Moorinvest Counsel is authorized or otherwise permitted to provide legal services.
The Website may be accessed from different jurisdictions. Accessing the Website from a jurisdiction where its contents or services are not permitted is at your own initiative and responsibility.

You agree to indemnify and hold harmless Moorinvest Counsel, Sara Mana, Esq., and their affiliates, personnel, service providers, and representatives from any claims, liabilities, damages, losses, costs, or expenses arising out of or related to:

your violation of these Terms;
your submission of unlawful, false, infringing, confidential, privileged, sensitive, or proprietary information;
your violation of any rights of a third party;
your use of Website content in violation of these Terms.

This governing law and venue provision applies to Website-related disputes only and does not necessarily govern any separate engagement agreement unless that agreement so provides.
